Reasons for the Offering

NordAmps designs and develops high-performance circuits for communication systems in which demands on speed, sensitivity and energy efficiency are continuously increasing. The Company’s first commercial focus is radio frequency applications, where low-noise amplifiers (LNAs) are the first product category to be brought to market. Over time, NordAmps intends to widen its offering to further RF components and, subsequently, to additional communication technologies. The Company’s proprietary transistor technology is the key enabler of this circuit performance.

The Company builds on more than two decades of nanoelectronics research at Lund University. NordAmps was founded in 2017 by Professors Lars-Erik Wernersson and Erik Lind together with Lars Tilly, and has since developed from a research-based spin-off into a company focused on high-performance circuits for the communication systems of the future. The technology platform combines the performance characteristics of III-V materials with the scalability and cost efficiency of silicon-based manufacturing, and the Company operates a fabless business model in which manufacturing and industrialization are carried out together with external partners. A significant milestone was reached in 2025 through the collaboration with Finnish research institute VTT, which is intended to establish a European and scalable production chain.

Growth in the market for high-performance communication circuits is driven by rising data traffic, the build-out of AI infrastructure, stricter energy-efficiency requirements and an increasing need for scalable semiconductor solutions. To address these trends, NordAmps is now taking the step from technology development to industrialization and commercialization, and the Board of Directors has resolved to carry out the Offering in connection with the listing on Nasdaq First North Growth Market.

Use of the proceeds

The Company mainly intends to use the net cash proceeds from the Offering for the following activities, without any particular order of priority:

1. Securing working capital through September 2027
2. Completing industrialization and production scale-up together with VTT and other production partners
3. Financing customer projects, test systems and deliveries
4. Continued product and technology development
5. General corporate purposes

The intended allocation, without any order of priority, of the net cash proceeds is expected to be approximately 25 percent for industrialization, production scale-up and the collaboration with VTT, approximately 43 percent for customer projects, test systems and product development, and approximately 32 percent for general corporate purposes.

Through the listing, investors, customers, strategic partners and employees are given the opportunity to take part in NordAmps’ continued development. A listing also improves the Company’s access to the capital market, enables share-related incentive programmes, strengthens recruitment and increases awareness of NordAmps and its technology platform.
